Terms of Service

These Terms of Service ("Terms") govern your use of the Tably platform available at https://tably.ge (the "Platform" or "Service").

The Service is provided by შპს ტაბლი (Tably LLC) (Identification Number: 416395289) ("we", "us", "our", "Tably").

IMPORTANT: By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not use the Service.

Language and translations: These Terms of Service are drafted in English and the English version is the original and legally binding version. Any versions of these Terms that you may see in other languages are generated by machine translation and are provided solely for your convenience. In the event of any inconsistency or conflict between a translated version and the English version, the English version shall always prevail.

1.2 What is Tably

Tably is a digital restaurant management platform that allows restaurant owners, managers, and staff to:

Manage restaurant locations and settings

Create and update digital menus in multiple languages

Upload menu photos and use AI-powered menu digitization

Generate QR codes for table-side menu access

Process customer orders received through the customer-facing application

Manage table reservations with deposit payments

Configure pricing and availability

View analytics and reports about restaurant performance

Communicate with customers

1.3 Platform model

The Tably platform consists of two main parts:

Customer Application: Used by restaurant guests to scan QR codes, view menus, and place orders (available at https://tably.ge/{venue-slug})

Admin Panel (Backoffice): Used by restaurant staff to manage operations (available at https://tably.ge/backoffice)

Your responsibilities as a restaurant operator:

As a user of the Admin Panel, you (the restaurant owner, manager, or staff member) are solely responsible for:

Menu content, pricing and availability

Food preparation, quality and safety

Customer service at your venue

Accepting or rejecting orders

Payment processing with customers

Compliance with local health, safety and licensing regulations

Protecting customer data you receive through the platform

We provide the technology platform. You are responsible for your business operations and compliance with applicable laws.

1.4 Service fees

The Service may be offered free of charge or subject to fees as specified during registration or in your account settings. If fees apply:

All fees are stated in the currency specified at the time of order

Fees are exclusive of applicable taxes unless otherwise stated

You are responsible for paying all applicable taxes

Fees are non-refundable unless otherwise stated or required by law

We may change our fees upon reasonable notice (at least 30 days)

Non-payment may result in suspension or termination of your access to the Service

If the Service is currently free, we reserve the right to introduce fees in the future with reasonable notice.

2. Acceptance of Terms

2.1 Agreement to Terms

By accessing, registering for, or using the Platform, you agree to be bound by:

Any additional terms presented to you in the Platform

2.2 Changes to Terms

We may update these Terms from time to time. When we make material changes:

We will update the "Last updated" date at the top

We will notify you through the app, website, or by email where appropriate

Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms

If you do not agree to the updated Terms, you must stop using the Service.

2.2.1 Right to object to changes

When we notify you of changes to these Terms, you have 6 weeks from the date of notification to object to the changes.

If you object within this period:

The changes will not apply to your use of the Service

Either party may terminate the Service relationship with reasonable notice

If we do not terminate, the previous Terms will continue to apply to you

If you do not object within 6 weeks, the changes will be deemed accepted.

3. Eligibility and Account

3.1 Age and authority requirements

To use the Admin Panel, you must:

Be at least 18 years of age

Have authority to represent and bind your restaurant/business

Be legally authorized to operate a food service business in your jurisdiction

Provide accurate and complete registration information

If you are registering on behalf of a business entity:

You represent that you have the authority to bind that entity to these Terms

The business entity will be responsible for your use of the Service

3.2 Account registration

To use the Admin Panel, you must create an account. When you register, you agree to:

Provide accurate, current and complete information about your restaurant/business

Maintain and update your information to keep it accurate

Keep your password secure and confidential

Notify us immediately of any unauthorized use of your account

Be responsible for all activity under your account

Not share your account credentials with unauthorized persons

We reserve the right to suspend or terminate accounts that provide false information or violate these Terms.

3.3 Account security

You are responsible for maintaining the confidentiality of your account credentials. We are not liable for any loss or damage arising from your failure to protect your account.

You may not transfer, sell, or assign your account to any third party without our express written consent.

If you believe your account has been compromised, contact us immediately at info@tably.ge.

4. Using the Service

4.1 License to use

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform for your restaurant business operations.

4.2 Permitted use

You may use the Platform to:

Manage your restaurant's digital presence on Tably

Create and update menu items and pricing

Upload menu photos for AI-powered digitization

Process customer orders and reservations

View analytics and business reports

Communicate with customers about their orders

Generate and manage QR codes for your venue

4.3 Prohibited use

You may not:

Use the Service for any illegal purpose

Impersonate another person or entity

Upload malicious code, viruses, or harmful content

Attempt to gain unauthorized access to the system or other users' accounts

Interfere with the Service's operation or security

Scrape, copy, or download large amounts of data without permission

Use the Service to spam or harass customers

Violate any applicable laws or regulations

Upload content that infringes on intellectual property rights

Post false, misleading, or fraudulent information about your menu, prices, or availability

Misuse customer contact information

Share, sell, or transfer customer data to third parties

Use customer data for marketing without proper consent

Perform security testing or vulnerability scanning without our prior written approval

License, sell, transfer, or make the Service available to any third party

Access or use the Service to build competitive products or services

4.4 Content standards

All content you upload (menu items, photos, descriptions) must:

Be accurate and truthful

Not violate any laws or regulations

Not infringe on third-party intellectual property rights

Not contain offensive, harmful, or inappropriate material

Comply with food safety and labeling requirements

Reflect actual prices, availability, and offerings

4.5 Content moderation

4.5.1 Prohibited content

Users must not post, upload, or transmit content that:

Violates any applicable laws or regulations

Infringes third-party intellectual property rights

Contains malicious code or harmful software

Is defamatory, harassing, threatening, or abusive

Contains hate speech or incites violence

Is sexually explicit or promotes illegal activities

4.5.2 Reporting content

To report illegal or harmful content, contact us at info@tably.ge.

4.5.3 Moderation actions

If content is found to violate our Terms, we may:

Issue a warning

Remove the violating content

Temporarily restrict account features

Suspend the account

Permanently terminate the account

4.5.4 Appeals

If you believe a moderation decision was made in error, you may appeal by contacting us at info@tably.ge within 30 days of the decision.

4.6 Your uploaded content

When you upload menu items, photos, descriptions, or other content, you grant us a worldwide, non-exclusive, royalty-free license to:

Store, process, and display your content

Distribute your content to customers through the customer-facing application

Create backups for service operation

Use your content for improving the Service (including AI model training for menu digitization)

You retain ownership of all content you upload.

You represent and warrant that:

You own or have the rights to any content you submit

Your content does not violate any third-party rights

Your content does not contain illegal or inappropriate material

4.7 Copyright infringement

4.7.1 Your responsibility

You are solely responsible for ensuring that all content you upload does not infringe any third-party intellectual property rights.

4.7.2 Copyright notice procedure

If you are a copyright owner and believe content on our Service infringes your copyright, please notify us at info@tably.ge with:

Identification of the copyrighted work

Identification and location of the infringing material

Your contact information

Statement of good faith belief

Statement of accuracy and authorization

Your signature

4.7.3 Repeat infringement policy

First offense: Warning and content removal

Second offense: Temporary account suspension (7-30 days)

Third offense: Permanent account termination

5. Customer Data and Privacy Responsibilities

5.1 Customer contact information

When customers place orders through the customer-facing application, we transmit customer contact information to you, including:

Customer phone number

Customer email address

Customer name

Important: You are an independent data controller for customer data you receive.

5.2 Your responsibilities for customer data

You must:

Protect customer data in accordance with applicable privacy laws

Use customer contact information only for legitimate purposes (order fulfillment, order-related communication)

Not share customer contact information with unauthorized third parties

Implement appropriate security measures

Honor customer requests to opt out of marketing

Comply with customer data rights requests (access, deletion, correction)

Delete customer data when no longer needed

5.3 Prohibited uses of customer data

You must not:

Sell, rent, or trade customer contact information

Use customer data for purposes unrelated to order fulfillment without explicit consent

Share customer data with third parties for their marketing purposes

Retain customer data longer than legally permitted

5.4 Liability for customer data misuse

You are solely liable for your use and protection of customer data. We are not liable for how you use, store, or protect customer data after we transmit it to you.

6. Orders and Reservations

6.1 Order process

When a customer places an order:

Customer selects items from your menu

Order is transmitted to your Admin Panel in real-time

You accept or reject the order

You fulfill the order and collect payment from the customer

You have the right to accept or reject any order at your discretion.

6.2 Your responsibilities

You are solely responsible for:

Reviewing and processing orders promptly

Preparing orders accurately

Food quality and safety

Allergen management

Pricing accuracy — honoring displayed prices

Keeping menu availability up to date

Customer communication

Payment collection

6.3 Table reservations

If you use the reservation features:

You are responsible for honoring confirmed reservations

Deposit payments are processed via Stripe

You may set your own cancellation policies

You must communicate reservation policies clearly to customers

You are responsible for managing table availability

6.4 Payment processing

Payment for orders is made directly between you and your customers. We do not process order payments.

For reservation deposits, payments are processed through Stripe. Stripe's terms and privacy policy apply to those transactions.

7. Intellectual Property

7.1 Our intellectual property

The Platform and all its content, features, and functionality (including software, text, graphics, logos, design) are owned by us or our licensors and are protected by intellectual property laws.

You may not:

Use our trademarks, logos, or branding without written permission

Copy, modify, or create derivative works based on the Platform

Reverse engineer, decompile, or disassemble the software

7.2 Your content

You retain ownership of all content you upload to the Platform.

7.3 AI-generated content

When you use our AI-powered menu digitization features, the AI may generate or suggest content (categories, descriptions, translations). You are responsible for reviewing and approving all AI-generated content before it becomes part of your menu.

7.4 Feedback

If you provide us with feedback or suggestions about the Service, you grant us the right to use such feedback without any obligation to you.

8. Disclaimers and Limitations of Liability

8.1 Service provided "as is"

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that:

The Service will be uninterrupted, secure, or error-free

Defects will be corrected

AI-generated content will be accurate or complete

Results obtained from using the Service will be accurate or reliable

8.2 No liability for restaurant operations

We are a technology platform provider. We are not responsible for:

Food quality, safety, preparation, or presentation

Customer service or conduct of restaurant staff

Pricing errors or menu accuracy

Compliance with health, safety, or licensing regulations

Any illness, injury, or harm caused by food or service

8.3 Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE.

OUR TOTAL LIABILITY SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO US IN THE 12 MONTHS BEFORE THE CLAIM AROSE, OR (B) €100.

8.4 Exceptions

The above limitations do not apply to:

Liability for damages arising from injury to life, body, or health

Liability under mandatory product liability laws

Liability that cannot be excluded under applicable consumer protection laws

Claims based on fraudulent misrepresentation

8.5 Indemnification

You agree to indemnify and hold harmless Tably from any claims, liabilities, damages, losses, or expenses arising from:

Your use of the Service

Your violation of these Terms

Your violation of any rights of another person or entity

Your restaurant operations and customer interactions

Any content you submit to the Service

9. Termination

9.1 Termination by you

You may stop using the Service at any time. You may delete your account through account settings or by contacting us at info@tably.ge.

9.2 Suspension by us

We may suspend your access if:

You violate these Terms

There is a security threat

You fail to pay any fees due

There are intellectual property infringement claims against you

Required by law or legal authority

9.3 Termination by us

We may terminate your access:

With at least 30 days' written notice for any reason

Immediately if you materially breach these Terms

Immediately if we suspect fraudulent or illegal activity

9.4 Effect of termination

Upon termination:

Your right to use the Service immediately ceases

We may delete your account and data (subject to data retention obligations)

Sections that by their nature should survive will continue to apply

9.5 Inactive accounts

We reserve the right to delete accounts inactive for 6 months or more, with prior email notification.

10. Dispute Resolution and Governing Law

10.1 Governing law

These Terms are governed by the laws of the Republic of Georgia.

10.2 Jurisdiction

Any disputes shall be subject to the exclusive jurisdiction of the courts of the Republic of Georgia.

If you are a consumer in the EU/EEA, you may also bring proceedings in the courts of your country of residence.

10.3 Informal resolution

Before initiating formal dispute resolution, please contact us at info@tably.ge to attempt to resolve the issue informally.

11. General Provisions

11.1 Entire agreement — These Terms and our Privacy Policy constitute the entire agreement between you and Tably regarding the Service.

11.2 Severability — If any provision is found invalid, the remaining provisions remain in effect.

11.3 Waiver — Our failure to enforce any right does not constitute a waiver.

11.4 Assignment — You may not assign these Terms without our consent. We may assign without restriction.

11.5 Force majeure — We are not liable for failures due to events beyond our reasonable control.

11.6 Notices — We may provide notices by email, in-app notifications, or posting on the Service.

11.7 No agency — These Terms do not create any agency, partnership, or employment relationship.

11.8 Survival — Provisions that should survive termination (disclaimers, liability, IP, governing law) will survive.

12. Definitions

"Platform" or "Service" — the Tably platform at https://tably.ge including the Admin Panel and customer-facing application.

"Admin Panel" or "Backoffice" — the administrative interface at https://tably.ge/backoffice.

"Content" or "Your Content" — all data, text, images, photos, menu items you upload.

"Customer" — any person who uses the customer-facing application to view menus or place orders.

"Establishment" or "Venue" — a restaurant, café, bar, or food service business using the Platform.

"We," "us," "our," or "Tably" — შპს ტაბლი (Tably LLC) (Identification Number: 416395289).

"You" or "your" — the legal entity or individual who accepts these Terms and uses the Service.
